REGULATIONS OF THE “KLEAR REFERRAL” PROMOTIONAL INITIATIVE

1. Promoter

Klear Finance S.r.l. (hereinafter referred to as “Klear” or “the Company”), based in Via Mario Morgantini 25, 20148 Milan (MI), operational headquarters in Corso di Porta Romana 61, 20122 Milan (MI), VAT number 13462040968.

2. Name of the Initiative

“Klear Referral” (hereinafter referred to as “the Initiative”).

4. Duration and Territorial Scope

— Duration: From the publication date of these regulations until 23:59 on October 31, 2025.

— Territorial scope: territory of the Italian Republic (including, where applicable, San Marino and Vatican City).

5. Recipients

All registered Klear customers on the platform (hereinafter referred to as “Klear Users” or “Referrers”), who are adults and residents/domiciled in Italy, can participate. The following are excluded:

— employees, collaborators, consultants, and suppliers of the Company and its affiliated companies;

— individuals whose account is suspended/closed;

— users who do not comply with these regulations.

6. Object of the Initiative

— The registered Klear User can request a discount code on the platform (the “Code”), which applies a 20% discount on the price of the plan, exclusively usable by other Klear Users for the purchase of a Core or Premium paid plan.

— The use of the Code by the same User who generated it (self-use not allowed) is prohibited.

— Sharing: the Referrer can share their Code with third parties intending to register/join Klear and subscribe to a Core or Premium plan.

— No reward or benefit is provided for simple registration without purchasing a Core or Premium plan.

7. Participation Mechanics and Rewards

1) The subject receiving the Code (“Invitee”), when purchasing a Core or Premium plan, enters the Code (simple registration does not entitle to rewards/discounts):

   • the Invitee receives a 20% discount on the price of the Core or Premium plan.

   • the Referrer (the one who generated the Code) earns a reward consisting of an Amazon.it gift card worth € 50.00 (fifty/00) (hereinafter referred to as “Gift Card”).

2) Prize issuance: the Gift Card is issued within 15 (fifteen) working days from the subscription of the plan by the Invitee and from the successful completion of the related payment/activation.

3) Channel and delivery methods: the Gift Card is sent to the Referrer via email to the address associated with the Klear account, in the form of a digital code.

4) Number of rewards: for each successful subscription made using the Code, the Referrer is entitled to a Gift Card worth € 50.

5) Cumulability: unless otherwise communicated, rewards are cumulative without quantitative limits.

6) Non-convertibility: Gift Cards are non-convertible into cash, nor can they be replaced or refunded; the applicable terms and conditions of Amazon at the time of use apply.

8. Validity Conditions

In order to accrue the right to the prize:

— the Code must be valid at the time of use and associated with the Referrer;

— the Invitee must complete the registration/activation of the Core or Premium plan, using the Code, and the related payment must be successful;

— simple registration without purchasing a Core or Premium plan does not entitle to any prize;

— there must be no withdrawal/cancellation/refund of the plan within the legal terms (e.g. right of withdrawal within 14 days). In the event of withdrawal/refund, Klear may reverse or not issue the Gift Card.

9. Limitations and Prohibited Behaviors

— Self-use: the Referrer cannot use their own Code to purchase a plan for themselves.

— Code transfer: Codes cannot be sold, posted on paid couponing platforms, subjected to auctions or exchanged for a fee.

— Abuses and fraud: elusive or fraudulent practices are prohibited (e.g. creation of fictitious accounts, false identities, simulated payments). Klear reserves the right to cancel rewards and disable accounts in the event of suspected abuse, following internal check.

— Deceptive communications: it is forbidden to use brands, domains, pages, or ads that could mislead into believing they are “official” Klear channels or that exploit protected brand keywords.

10. Value of the Prize and Non-convertibility

— Value of the single prize: € 50.00 (Amazon.it gift card).

— Non-convertibility: Gift Cards are not convertible into cash nor refundable; the applicable terms and conditions of Amazon in force apply.

11. Participation Methods 

The generation and use of Codes occur exclusively through the Klear platform/app. 

12. Advertising

The Initiative is communicated through the Klear website/app, email, in-app notifications, and official social channels. 

13. Processing of Personal Data

Data will be processed by Klear as data controller, in compliance with Regulation (EU) 2016/679 and national legislation, for the management of the Initiative and the issuance of rewards. Complete information and rights of data subjects are available in the Privacy Policy on the Klear website/app. Any communication of data to partners (e.g., providers of the Gift Cards) will occur to the extent necessary for the execution of the Initiative.

15. Complaints and Assistance

For information or complaints regarding the Initiative: help@klearfinance.com. For the use of the Gift Cards, the Amazon conditions and Amazon assistance channels apply.

16. Changes, Suspensions, and Force Majeure

Klear may modify these Regulations (without prejudice to rights already accrued), suspend or interrupt the Initiative for just cause or force majeure, giving notice on the website/app. Any substantial changes will be communicated on the website/app.

17. Applicable Law and Competent Court

The Regulations are governed by Italian law. For any disputes, the exclusive jurisdiction is that of the court of the consumer's residence or domicile.
